Terms of Service
These Terms of Service (“Terms”) govern access to and use of the OperationsIntel.ai websites and the OpsIntel platform (together, the “Services”), provided by Doughmain Holdings, Inc. (“OpsIntel,” “we,” “our,” or “us”).
By accessing the public website or using the platform, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
Customers with a signed subscription or services agreement are governed by that agreement where it conflicts with these Terms.
1. The Services
OpsIntel is a business-to-business operational intelligence platform for restaurant operators, franchise operators, and multi-location businesses. The Services aggregate and analyze business data that customers authorize OpsIntel to access, and present operational signals, reports, and answers to support customer decision-making.
The Services provide operational information and signals to support review by qualified operators. They do not provide legal, financial, accounting, or employment advice, and operational decisions remain the customer’s responsibility.
2. Accounts and access
Platform access is limited to authorized customers and the users their organization approves. You are responsible for maintaining the confidentiality of your credentials and for activity under your account, and you agree to notify us promptly of any suspected unauthorized access.
Access within the platform is role-based. Customers control which of their users can see which stores, data, and functions.
3. Customer data
Customers own their business data. OpsIntel processes customer-authorized data solely to provide, maintain, secure, and improve the Services for that customer, consistent with our Privacy Policy and applicable customer agreements.
We do not sell customer business data, and we do not share one organization’s data with another.
4. Acceptable use
You agree not to:
- Access or attempt to access data belonging to another organization
- Interfere with, disrupt, or attempt to probe or circumvent security features of the Services
- Use the Services to violate applicable law or the rights of others
- Resell, sublicense, or provide the Services to third parties without our written agreement
- Use automated means to scrape or bulk-extract content from the Services outside documented interfaces
5. Third-party systems
The Services connect to third-party systems (such as POS, labor, accounting, scheduling, and guest feedback platforms) only as authorized by the customer. Those systems are governed by their own terms, and OpsIntel is not responsible for their availability, accuracy, or conduct.
6. Availability and changes
We work to keep the Services available and accurate, but they are provided “as is” and “as available.” Data freshness depends in part on the source systems customers connect. We may improve, modify, or discontinue features over time; material changes affecting paying customers are handled under their customer agreement.
7. Intellectual property
OpsIntel retains all rights in the Services, including software, design, and content we provide. Customers retain all rights in their business data. Feedback you choose to provide may be used to improve the Services without obligation.
8. Disclaimers and limitation of liability
To the maximum extent permitted by law, OpsIntel disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Operational signals, estimates, and projections are provided to support review — they are not guarantees of outcomes.
To the maximum extent permitted by law, OpsIntel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from use of the Services. Where liability cannot be excluded, it is limited to the amounts paid for the Services in the twelve months before the claim arose, or one hundred U.S. dollars for users of the free public website.
9. Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach of these Terms, including misuse of the Services or attempts to compromise security. Customer agreements govern termination and data return for paying customers.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date above, and material changes will be communicated to customers. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
